Terms of Service

The terms that govern use of the Sapience website, software, and growth services. Read them together with our Privacy Policy.

1. Agreement to These Terms

These Terms of Service (“Terms”) are an agreement between Sapience (“Sapience,” “we,” “us”) and you. They govern your use of trysapience.com and its subdomains (the “Site”), the Sapience application and any client portal, dashboard, or API we provide (the “Software”), and the growth, SEO, content, and outbound services we deliver to clients (the “Services”).

By using the Site, creating an account, or engaging us for Services, you agree to these Terms and to our Privacy Policy. If you are accepting on behalf of a company, you represent that you have authority to bind it. Where you have signed a separate written agreement, statement of work, or order with us, that document governs to the extent it conflicts with these Terms.

2. Accounts

You must be at least 18 years old to create an account or engage us for Services. You are responsible for keeping your credentials confidential, for the accuracy of the information you give us, and for all activity under your account. Tell us promptly at privacy@trygriot.com if you believe your account has been compromised.

3. The Services

The scope, deliverables, timeline, and fees for any engagement are set out in the proposal, order, or statement of work you accept. We will perform the Services with reasonable skill and care and in line with the practices described on the Site. Search engines, answer engines, social platforms, and ad networks are operated by third parties whose algorithms and policies change without notice, so we cannot and do not guarantee any particular ranking, traffic, citation, lead, or revenue outcome.

Where you give us access to your website, content management system, analytics, search console, social accounts, or outbound tooling, you authorize us to act within that access to deliver the Services. You remain responsible for the accuracy of any facts, claims, and pricing you supply to us and for reviewing published work that makes claims about your business.

4. Fees & Payment

Fees are as stated in your order or subscription and are billed in advance unless agreed otherwise. Subscriptions renew automatically for successive periods of the same length until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where the law requires or your order says otherwise. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum permitted by law, and we may pause Services while an invoice is more than 15 days past due. Fees exclude taxes, which you are responsible for.

5. Your Content & Data

You retain ownership of the content, brand assets, data, and accounts you provide to us (“Client Content”). You grant Sapience a licence to use Client Content solely to deliver the Services and operate the Software for you. How we collect and handle personal data is described in our Privacy Policy.

Deliverables we create for you (articles, pages, creatives, outbound copy, reports) are yours on payment in full. We retain ownership of our methods, playbooks, templates, software, and any tooling we bring to an engagement, and may reuse general know-how gained in the course of the work. Unless you tell us otherwise in writing, we may name you as a client and describe the work at a high level in case studies and marketing.

6. Acceptable Use

  • Do not use the Site, Software, or Services to violate any law, regulation, platform policy, or third-party right.
  • Do not supply us with content or claims you know to be false, misleading, or unsubstantiated.
  • Do not use outbound features to send messages to people who have opted out or in ways that breach anti-spam laws (including CAN-SPAM, GDPR, and the TCPA).
  • Do not attempt to probe, scan, or circumvent the security of the Software, scrape it, or reverse-engineer it.
  • Do not resell or provide the Software to third parties except as your engagement allows.

We may suspend access or pause Services if we reasonably believe this section has been breached.

7. AI-Assisted Work

Sapience uses AI systems, including our own agents, to research, draft, and analyze as part of the Services and the Software. Output is reviewed against our guardrails, but AI systems can make mistakes. You are responsible for the final review of any deliverable that makes factual or legal claims about your business before you rely on it or publish it, and you should not treat AI output as legal, financial, or professional advice.

8. Confidentiality

Each party will keep the other’s non-public business information confidential, use it only for the purposes of the engagement, and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law (with notice where permitted). This obligation survives the end of the engagement for three years, and indefinitely for trade secrets.

9. Term & Termination

These Terms apply from your first use of the Site or Software and for the duration of any engagement. Either party may terminate an engagement for convenience on 30 days’ written notice unless the order says otherwise, and either party may terminate immediately if the other materially breaches these Terms and fails to cure within 15 days of notice. On termination you pay for Services delivered up to the effective date, we return or delete Client Content on request as described in the Privacy Policy, and sections that by their nature should survive (payment, intellectual property, confidentiality, disclaimers, limitation of liability, governing law) survive.

10. Disclaimers

THE SITE AND SOFTWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR AN ORDER, SAPIENCE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT ANY PARTICULAR SEARCH, AI-VISIBILITY, TRAFFIC, LEAD, OR REVENUE RESULT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SAPIENCE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE, SOFTWARE, OR SERVICES. SAPIENCE’S TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE FEES YOU PAID TO SAPIENCE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

12. Indemnification

You will defend and indemnify Sapience and its officers, employees, and contractors against third-party claims and related costs arising from Client Content, the claims you make about your business, your products or services, or your breach of these Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Cook County, Illinois, and both parties consent to their jurisdiction. Before filing, each party agrees to contact the other and attempt in good faith to resolve the dispute within 30 days.

14. General

These Terms, the Privacy Policy, and any order or statement of work you accept are the entire agreement between you and Sapience. If any provision is unenforceable, the rest remain in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver. Notices to Sapience should go to privacy@trygriot.com; notices to you go to the email on your account or order.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes we will update the date below and, where appropriate, notify you by email or through the Software. Continued use after changes take effect constitutes acceptance of the updated Terms.
